Scope of Agreement

These terms and conditions, together with any applicable purchase orders or agreements, constitute the entire agreement between the parties regarding the sale of automation parts by OC Automation (“Seller”) to the customer (“Buyer”).

Order Acceptance

All orders placed by the Buyer shall be subject to acceptance by the Seller. The Seller reserves the right to accept or reject any order, in whole or in part, in its sole discretion. Acceptance of an order is deemed to occur upon issuance of an order confirmation by the Seller.

Pricing and Payment

The prices for automation parts shall be as specified by the Seller and are subject to change without notice. Payment for the ordered products is due upon placement of the order, unless otherwise agreed upon in writing by the parties. Ownership of the automation parts shall remain with the Seller until full payment has been received.

Shipping and Delivery

The Seller shall use commercially reasonable efforts to deliver the automation parts in a timely manner. However, delivery dates provided by the Seller are estimates only and shall not be binding upon the Seller. The Seller shall not be liable for any delays in delivery caused by third-party shipping carriers, acts of God, or other circumstances beyond its reasonable control.

Return Policy

The Buyer may return unused and unopened automation parts within 7 days of receipt, subject to the Seller’s approval. Returns must be authorized by the Seller and may be subject to a restocking fee of 30% of the purchase price. The Buyer shall be responsible for all costs associated with the return shipping of the products.

Warranty

The Seller warrants that the automation parts sold hereunder shall be free from defects in materials and workmanship for a period of 12 months from the date of delivery. The Buyer’s sole remedy for breach of this warranty shall be limited to repair, replacement, or refund of the purchase price, at the Seller’s option. This warranty does not cover damage caused by misuse, neglect, or unauthorized modification of the products.

Limitation of Liability

In no event shall the Seller be liable to the Buyer or any third party for any indirect, incidental, consequential, punitive, or special damages arising out of or in connection with the sale or use of the automation parts, even if the Seller has been advised of the possibility of such damages. The Seller’s total liability shall be limited to the purchase price paid by the Buyer for the products.

Intellectual Property

The Buyer acknowledges that all trademarks, copyrights, and other intellectual property rights associated with the automation parts are and shall remain the property of their respective owners. Nothing herein shall be construed as granting the Buyer any rights or licenses in or to such intellectual property.

Governing Law and Jurisdiction

These terms and conditions shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

Modification and Waiver

These terms and conditions may be modified or amended by the Seller at any time without notice. No waiver of any provision of these terms and conditions shall be effective unless made in writing and signed by the Seller. The failure of the Seller to enforce any right or provision herein shall not constitute a waiver of such right or provision.

Severability

If any provision of these terms and conditions is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
